How to Cancel a Business Name in Australia

To cancel a business name in Australia, you need to lodge a cancellation request through ASIC Connect, the Australian Securities and Investments Commission’s online portal.

That said, there’s a bit more to it than just clicking a button. Before you cancel, make sure you’re not leaving loose ends behind. That means checking outstanding fees, your ABN status, and any tax obligations you haven’t closed off yet. Miss one of those steps and you could end up with unexpected obligations down the track.

The team at AB Mag has put together this guide to walk you through exactly what to do, step by step. You’ll learn:

  • What does cancelling a business name actually mean
  • The exact steps to cancel through ASIC Connect
  • What to sort out after cancellation
  • What happens if you don’t cancel

Let’s get into it.

What Does Cancelling a Business Name Actually Mean?

Cancelling a business name means actively submitting a request through ASIC to remove your registered name from the public register before its expiry date. It’s different from simply letting it lapse.

When a registration lapses through non-renewal, the name stays on the ASIC register until the expiry date. You may still receive renewal notices and reminders in the meantime. Cancellation removes it immediately and sends you a confirmation on record. That’s the better option if you want a definitive end date you can point to.

Either way, both paths end with the name off the register. The difference is timing and how much admin noise you deal with in the lead-up.

Does Cancelling Your Business Name Affect Your ABN Details?

No. Cancelling your business name through ASIC does not affect your Australian Business Number (ABN) details in any way. They’re two separate registrations managed by two separate government bodies.

The same goes for your Goods and Services Tax (GST) registration. If your business was registered for GST, that doesn’t automatically switch off when the name goes. You’ll need to cancel it separately and make sure you’ve lodged any outstanding business activity statements beforehand.

Tax and payment obligations don’t disappear with the name either. If you still owe, you still pay.

Before You Cancel Your Business Name

Before you log in and hit cancel, run through this first. Missing any of these can slow the process down or leave loose ends behind:

  • You have stopped trading under this business name
  • There are no outstanding invoices or active contracts under the name
  • Clients, suppliers, and relevant parties have been notified
  • Business bank accounts linked to the name have been updated or closed
  • You understand that ASIC does not refund unused registration time
  • Your ABN and GST registration are sorted separately if you are closing down completely

If you can tick all of those, you’re ready to go. It only takes a few minutes to check and can help you avoid unnecessary complications after the cancellation has been processed.

How to Cancel a Business Name in Australia: Step by Step

As mentioned before, you can cancel your business name through ASIC Connect, the online portal used to manage business registrations. The process is done entirely online and takes around 10 minutes. Here’s exactly how it works.

Cancelling via ASIC Connect

After logging in, you’ll be taken to the Lodgements and Notifications tab, where the cancellation process begins. From here, work through the following steps:

  1. Log in to your account at ASIC Connect using your username and password
  2. Select the Lodgements and Notifications tab
  3. Select the business name you want to cancel
  4. Select Cancel/Transfer Business Name, then select Go
  5. On the Cancellation Details page, select I would like to cancel the business name, then select Next
  6. Review your details and select Submit
  7. Read the declaration, select Yes, then hit Submit again
  8. You’ll get an on-screen message confirming your request has been submitted
  9. Select Document Acknowledgement to download a PDF copy for your records

ASIC will send a written notice to the business name holder once the cancellation is confirmed. The name won’t come off the register immediately. It takes 28 days from the date you submit the form.

What If You Can’t Access ASIC Connect?

If you’re not the business name holder or you’ve lost access to your account, you’re not stuck. Someone else can legally act on your behalf.

To do this, the business name holder needs to provide either their ASIC key or written authorisation allowing another person to act for them. That could be a family member, an accountant, or a lawyer.

Once they’re set up as an authorised representative, they can search for and cancel the business name on your behalf through the same online process.

While the process above covers voluntary cancellation, ASIC can also cancel a business name in certain situations. This may happen if you don’t renew by the due date or stop carrying on business activities.

You can read more about that on ASIC’s page covering when ASIC cancels a business name.

After Cancellation: Tie Up These Loose Ends

Cancelling your business name removes the registration, but it doesn’t automatically close off every obligation connected to the business. Once ASIC processes the cancellation, take a few minutes to work through the following:

  • Your ABN and GST Registration: If you’re fully closing down, cancel your ABN through the Australian Business Register at abr.gov.au. While you’re there, cancel your GST registration too, but only once your business activities have completely stopped. Your accountant can help you time this correctly relative to your final tax return.
  • Employee Obligations: Final wages, withholding tax, and superannuation contributions all need to be settled before you consider the books closed. These obligations exist independently of your business name registration and don’t go away when the name does.
  • Outstanding Debt and Tax: Cancellation doesn’t remove existing obligations. Any debt or tax still owed to the government must still be paid. ASIC records will continue to reflect this until it’s resolved.
  • Business Assets and Property: Remaining assets, property, and any partnership arrangements need to be formally dealt with before you walk away. Left unresolved, they can create disputes or compliance issues in the future.
  • Government Assistance and Grants: If you accessed any government support programs during your time in business, check whether reporting or repayment obligations are still active. Cancelling your business name doesn’t close those off automatically.

Once these items are sorted, you can move on knowing the business name’s been properly closed. Any remaining obligations will have been addressed, too.

Take the Next Step with Confidence

Cancelling your business name only takes a few minutes, but making sure everything connected to it is properly wrapped up can take a little longer. Before you move on, check that your ABN, tax obligations, and any employee responsibilities have been dealt with so nothing catches you by surprise later.

If your situation is more complex, speaking with a registered accountant can save you time and prevent costly mistakes down the track.

Frequently Asked Questions

These are some of the most common questions business owners have about cancelling a business name.

Can ASIC cancel my business name without my permission?

Yes. ASIC can cancel your business name if you don’t renew the registration by the due date, or if they determine you’re no longer carrying on business activities under that name. You’ll receive a written notice before it happens.

How long does it take for a business name cancellation to process?

Once you submit the cancellation request through ASIC Connect, the business name is cancelled 28 days later. You’ll get an on-screen confirmation when you submit. A written notice follows once the cancellation is fully processed.

Is there a fee to cancel a business name?

Cancelling your business name is free. However, if you’ve already paid for a multi-year registration, ASIC does not refund any unused portion of the fee. For example, if you registered for three years and cancel after one, the remaining two years are not reimbursed.

Can I get a refund if I cancel my business name early?

No. ASIC doesn’t refund any registration fees once a cancellation has been submitted, regardless of how much time is left on the registration. If money is a consideration, factor that in before you decide when to cancel.
